herewith. Certificate number 33 for 537 shares of the capital

stock of Television 12 of Jacksonville, Inc.. issued to you on
a pro-rata basis in exchange for the shares which you owned in
Florida Gateway Television Company. Will you please acknowledge

receipt of the certificate on the copy of this letter enclosed and
return the receipt to me.

You will note that the certificate contains a stamped
endorsement referring to the Voting Trust. which you, together

with all of the other former stockholders of Florida Gateway.

This will be my final official act for our successful
little company. and causes me mixed emotions. While I think it

highly desirable that we all end up as direct stockholders of the
Television Company. I shall nevertheless miss the very pleasant
associations with you in the affairs of Florida Gateway. At the
same time I. look forward to our continued association as fellow
stockholders in what I believe will prOVe to be a fine investment.
