No. 1. empowered, by instrument in writing under the common seal of such company cither generally or in respect of any specified matters, as its attorney to execute deeds on its behalf in the Colony, shall be binding on such company and have the same effect as if. it were under the common seal of the company. 305. If any company to which this Part of this Ordinance applies ceases to have a place of business in the Colony it shall forthwith give notice of the fact to the Registrar, and as from the date on which notice is so given the obligation of the company to deliver any document to the Registrar shall cease: Provided that in case the Registrar is satisfied by any other means that the company has ceased to have a place of business in the Colony it shall be lawful for him to close the file of the company and thereupon the obligation of the company to deliver any document to the Registrar shall cease. 306. If any company to which this Part of this Ordinance applies fails to comply with any of the foregoing provisions of this Part of this Ordinance the company, and every officer or agent of the company, shall be liable to a fine of two hundred and fifty dollars, or, in the case of a continuing offence, twenty-five dollars for every day during which the default continues. 307. lor the purposes of this Part of this Ordinance-- certified ’’ means certified in the prescribed manner to be a true copy or a correct translation; “ director ”’ in relation to a company includes any person in accordance with whose directions or instruc- tions the directors of the company are accustomed to act; “place of business includes a share transfer or share registration office; “ prospectus ’’ has the same meaning as when used in rejation to a company incorporated under this Ordinance. 509 Removin company's name from register.
